These Terms of Service (“Terms”) govern your access to and use of Dealer Sweeps, LLC’s (“Dealer Sweeps,” “we,” “our,” or “us”) sweepstakes marketing program and related services (the “Services”). By subscribing to or participating in Dealer Sweeps, you (“Dealer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

 

Dealer Sweeps provides dealerships with access to an exclusive sweepstakes promotion (the “Program”) that includes a $100,000 grand prize for one selected customer, a $10,000 bonus to the salesperson responsible for the winning sale, and a $10,000 bonus to the dealership that sold the winning vehicle. The Program also includes co-branded marketing materials, promotional assets, sweepstakes support, and exclusive rights to a defined territory around your dealership. Dealer Sweeps manages sweepstakes administration, including compliance, registration, bonding, and prize fulfillment.

Each dealership subscription includes a defined exclusive radius based on the address provided during enrollment. Exclusivity applies only to other dealerships participating in Dealer Sweeps. Dealer Sweeps cannot prevent other marketing promotions in your market. Exclusivity is granted on a first-come, first-served basis and confirmed upon enrollment.

You agree to promote the sweepstakes only as provided and in compliance with all official sweepstakes rules. You are responsible for training your staff to represent the sweepstakes accurately. You may not misrepresent the sweepstakes, alter provided marketing materials, or create your own rules without written approval. You are also responsible for compliance with all local, state, and federal advertising laws regarding your dealership’s marketing.

Dealer Sweeps partners with a federally regulated third-party agency to administer winner selection. All entries are collected, organized, and submitted to the agency for random drawing. Dealer Sweeps manages notification, verification, and fulfillment of all prizes. Dealers have no authority to select or influence winners.

Subscription fees are billed as agreed upon during enrollment. Fees are non-refundable unless otherwise stated in writing. Failure to pay fees on time may result in suspension or termination of Services. Dealer Sweeps may terminate these Terms with or without cause by providing 30 days’ notice. Dealers may cancel their subscription with 30 days’ written notice, but remain responsible for fees through the end of the current billing period.

All marketing assets, promotional materials, logos, and creative content provided by Dealer Sweeps remain the intellectual property of Dealer Sweeps. You are granted a limited, non-transferable license to use such assets solely for promoting the Program while you are an active subscriber.

Dealer Sweeps provides the Services “as is” and makes no guarantees of increased sales, profitability, or specific outcomes. To the fullest extent permitted by law, Dealer Sweeps shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services. Dealer Sweeps’ total liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.

You agree to indemnify and hold harmless Dealer Sweeps, its officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising out of your misuse of the Program or Services, misrepresentation of the sweepstakes by your dealership or staff, or violation of these Terms.

These Terms shall be governed by and construed under the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the courts of Cleveland County, North Carolina, and both parties consent to jurisdiction there.

Dealer Sweeps may update these Terms from time to time. Any material changes will be communicated to you via email or through the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms, together with any official sweepstakes rules and your subscription agreement, constitute the entire agreement between you and Dealer Sweeps regarding the Services.
